Our Terms of Service

GVOC LTD ("we", "us", "our"), operating the website www.gvoc.co (the “Website”), provides growth intelligence as a services to businesses (“Clients”) under the following Terms of Service (“Terms”). By accessing or using our Website or engaging with our services, you (“Client”) agree to these Terms.

1. Definitions
‍Services: All products, services, platforms, and AI tools provided by GVOC LTD, including consultations, audits, analytics, dashboards, software, reports, and related deliverables.

‍Client Data: Information, documents, or materials provided by the Client for use in Services.

‍Deliverables: The output or results produced by the Services, as defined in an applicable Order Form or engagement.

2. Scope of Engagement
Services are provided based on mutually agreed terms, including scope, deliverables, fees, timeline, and specifications, typically outlined in an Order Form or separate agreement.

3. Client Responsibilities
Provide accurate, complete context and resources needed by GVOC LTD to deliver Services.Ensure you have rights to share Client Data and that it's free of legal restrictions.Use Services per applicable law and not for prohibited or fraudulent purposes.

4. Intellectual Property
‍Client Data & Deliverables: You retain all ownership of your Client Data. Deliverables are yours upon full payment.

‍GVOC IP: GVOC retains all rights to proprietary tools, methodologies, models, and pre‑existing materials. You are granted a limited, non-exclusive license to use them as required to receive solutions.

5. Confidentiality
Each party agrees to:
Protect confidential information of the other with at least reasonable care.

Not disclose or use such confidential information except as required to perform under these Terms or by law.

6. Fees & Payment
All fees, billing terms, and accepted payment methods will be specified in the Order Form.

Payments are net 30 days unless otherwise agreed. Late payments may accrue interest at 1.5% per month or the maximum allowed by law.

7. Warranty Disclaimer & Limitation of Liability
‍No Warranties: Services are delivered "as-is" without warranties of accuracy, reliability, or fitness for a particular purpose.

‍Liability Cap: Our total liability shall not exceed the total fees paid in the preceding 12 months. Neither party shall be liable for indirect, special, or consequential damages.

8. Indemnification
‍By Client: You agree to indemnify GVOC against third-party claims arising from your misuse of the Services or infringement in Client Data.

‍By GVOC: We will indemnify you against infringement claims arising from Deliverables, subject to proper use and exclusion of your third-party content.

9. Term, Termination & Effects
‍Term: These Terms apply until terminated by either party per the applicable engagement agreement.

‍Termination for Cause: Either party may terminate for material breach if unremedied after 30 days' notice.

‍Effect: Terminates rights to deliverables until payment; both parties return or destroy confidential information.

10. Acceptable Use & Prohibited Conduct
Use Services lawfully and in compliance with applicable regulations.

Prohibited: reverse engineering, harmful data uploads, infringing behavior, unauthorized system access.

11. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Disputes will be resolved via friendly discussion, followed by arbitration (London). ICC Model Contracts may guide internationally harmonized dispute resolution.

12. International Considerations
As an international provider, GVOC may transfer data cross-border. We implement safeguards to comply with global data protection requirements and maintain confidentiality.

13. Modifications to Terms
We may revise these Terms; notices will be posted on the Website with the updated effective date. Continued use implies acceptance of such changes.

14. Notices
All notices must be in writing and delivered to the addresses specified in the associated engagement or to support@gvoc.co.

15. Entire Agreement
These Terms, together with any engagement outline or Order Form, constitute the entire agreement between you and GVOC with respect to Services.
